Important: This End User License Agreement ("EULA") is a legal agreement between you ("End User") and Saurabh Infosys ("Licensor") for the SecondMind mobile application. By installing or using SecondMind, you agree to be bound by this EULA.
1. Grant of License
Subject to the terms of this EULA, Saurabh Infosys grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the SecondMind application ("App") on mobile devices owned or controlled by you, solely for your personal, non-commercial purposes.
2. Restrictions
You agree that you will NOT:
- Copy, modify, or distribute the App or any portion of it
- Sublicense, sell, resell, rent, or lease the App
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Remove or alter any proprietary notices, labels, or marks on the App
- Use the App to build a competing product or service
- Use the App in any way that violates applicable local, national, or international laws or regulations
- Transfer the App or this license to any third party
3. Intellectual Property
The App and all copies thereof are proprietary to Saurabh Infosys and title thereto remains in Saurabh Infosys. All applicable rights in all copyrights, trademarks, trade secrets, patents, and other intellectual property rights in or associated with the App are and will remain in Saurabh Infosys. You acknowledge that no title to the intellectual property in the App is transferred to you.
4. Subscription License Terms
Free Tier License: A free, limited license allowing use of the App with up to 30–50 items and full search functionality.
Pro License: Upon payment of applicable subscription fees, you receive an expanded license permitting unlimited item storage and additional features as described in the App.
Lifetime License: A one-time payment grants you a perpetual Pro license for the features available at the time of purchase. This license is personal and non-transferable.
License rights are contingent upon compliance with this EULA. Subscription fees are governed by the payment terms in the App stores (Apple App Store / Google Play Store).
5. Updates and Modifications
Saurabh Infosys may, at its sole discretion, update, patch, or modify the App at any time. Such updates may add, modify, or remove features. This EULA governs any updates unless they are accompanied by a new EULA, in which case the new EULA applies. You agree that Saurabh Infosys has no obligation to continue providing any particular feature.
6. Third-Party Services
The App may integrate with third-party services, including but not limited to Apple App Store, Google Play, and cloud infrastructure providers. Your use of those services is subject to their respective terms and privacy policies. Saurabh Infosys is not responsible for any third-party service's actions, content, or policies.
7. Privacy and Data
Your use of the App is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the App, you consent to the data practices described in the Privacy Policy.
8. Disclaimer of Warranties
THE APP IS PROVIDED TO YOU "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAURABH INFOSYS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE APP, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SAURABH INFOSYS DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE WITH OTHER SOFTWARE, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAURABH INFOSYS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFIT, OR DAMAGE TO GOODWILL ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE APP, EVEN IF SAURABH INFOSYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless Saurabh Infosys and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the App, your violation of this EULA, or your violation of any rights of a third party.
11. Term and Termination
This EULA is effective from the date you first install or use the App and continues until terminated. Saurabh Infosys may terminate this EULA immediately if you fail to comply with any term. Upon termination, you must cease all use of the App and delete all copies. Sections that by their nature should survive termination will survive, including Sections 3, 7, 8, 9, 10, and 13.
12. App Store Addendum
Apple App Store: If you downloaded the App from the Apple App Store, you acknowledge that this EULA is between you and Saurabh Infosys, not Apple Inc. Apple has no obligation to provide maintenance, support, or warranty for the App. Apple is a third-party beneficiary of this EULA and may enforce it against you.
Google Play: If you downloaded from Google Play, this EULA is between you and Saurabh Infosys. Google LLC is not a party to this EULA and has no responsibility for the App.
13. Governing Law & Dispute Resolution
This EULA is governed by the laws of India, without regard to its conflict of laws provisions. Any disputes arising under this EULA shall be resolved through binding arbitration in India, except where prohibited by law.
14. Entire Agreement
This EULA, together with our Privacy Policy and Terms & Conditions, constitutes the entire agreement between you and Saurabh Infosys regarding the App and supersedes all prior agreements, representations, and understandings.
